Apr 08, 2009 -- Atlas Pipeline Partners, L.P. (NYSE: APL) ("APL" or "Atlas Pipeline") announces that it has entered into a definitive agreement with Spectra Energy Partners, LP (NYSE:SEP) to sell Atlas Pipeline's NOARK natural gas gathering and interstate transmission system ("NOARK") for $300 million in cash.
Gene Dubay, President and Chief Executive Officer of Atlas Pipeline stated, "With this sale and the previously announced Williams transaction, we will be paying down approximately $400 million of debt. We continue to work on other transactions which should generate additional cash and further de-lever our company. Concurrently, we are focusing on APL's core strengths which, in our opinion, will make the new, leaner APL a stronger provider of gathering and processing services in the Mid-Continent and in Appalachia, where our new alliance with Williams will allow us to accelerate our Marcellus initiatives."
The pending sale is expected to close during the second quarter of 2009 and is subject to Hart-Scott-Rodino approval and other customary closing conditions and traditional purchase price adjustments.
UBS Investment Bank acted as financial advisor to Atlas Pipeline in this transaction.
Atlas Pipeline Partners, L.P. is active in the transmission, gathering and processing segments of the midstream natural gas industry. In the Mid-Continent region of Oklahoma, Arkansas, southern Kansas, northern and western Texas and the Texas panhandle, APL owns and operates eight active gas processing plants and a treating facility, as well as approximately 7,900 miles of active intrastate gas gathering pipeline and a 565-mile interstate natural gas pipeline. In Appalachia, it owns and operates approximately 1,800 miles of natural gas gathering pipelines in western Pennsylvania, western New York, eastern Ohio and northeastern Tennessee.
Apr 08, 2009 -- Array BioPharma Inc. (NASDAQ: ARRY) today announced that it has dosed its first Type 2 diabetic patient in a Phase 1 clinical trial with its novel small molecule glucokinase activator (GKA), ARRY-403. In preclinical studies, ARRY-403 demonstrated effective control of both fasting and non-fasting blood glucose concentrations. The GKA activity of ARRY-403 was shown to be highly dependent on blood glucose concentrations. In the Phase 1 trial, the compound will be evaluated in single- and multiple-dose escalation studies in Type 2 diabetic patients. The study is designed to evaluate safety, tolerability, exposure and blood glucose control.
"There is a significant need for new, more effective oral treatments for Type 2 diabetes - and glucokinase activation represents a promising new mechanism," said Kevin Koch, Ph.D., President and Chief Scientific Officer. "We believe ARRY-403 will provide diabetic patients with superior glucose control, combined with an improved safety profile."
ARRY-403 / Glucokinase Activator Preclinical Results
In multiple well-established in vivo models of Type 2 diabetes, ARRY-403 was highly efficacious in controlling both fasting and non-fasting blood glucose, with rapid onset of effect and maximal efficacy within five to eight days. In combination with existing standard-of-care drugs (metformin, DPP4 inhibitor or PPAR agonist), ARRY-403 provided additional glucose control, which reached maximal efficacy after five to seven days of once-daily dosing. ARRY-403 showed no increases in body weight, plasma triglycerides or total cholesterol, whether used as monotherapy or in combination.

According to the Centers for Disease Control, approximately 24 million (8 percent) Americans have diabetes. Current therapies for this progressive disease are insufficient or inconvenient, creating a need for the development of novel therapeutic approaches. GKAs, such as ARRY-403, represent a promising new class of drugs for the treatment of Type 2 diabetes.
About ARRY-403/ Glucokinase Activation
Glucokinase activators reduce glucose levels via a dual mechanism of action - working in both the pancreas and the liver. Glucokinase (GK) is the enzyme that senses glucose in the pancreatic beta cells, stimulating insulin release in a glucose-dependent manner. GK also regulates glucose uptake and glucose production in the liver. In diabetic patients, there is a reduction of GK activity in the pancreas and the liver. The activation of GK lowers glucose levels by enhancing the ability of pancreatic beta cells to sense glucose, in turn increasing the level of insulin that is produced by the pancreas. Simultaneously, GKAs also increase the uptake of glucose in the liver, while reducing the amount of glucose produced by the liver. These combined actions of GKAs result in improved beta cell function and increased insulin sensitivity in the liver.

Apr 08, 2009 -- US nucleic acid probe-based products maker Gen-Probe (NASDAQ: GPRO) said on 8 April 2009 it has closed the buyout of British life sciences group Tepnel Life Sciences (LON: TED) for nearly GBP92.8m (USD136m/EUR103m).
Gen-Probe paid GBP0.27 (USD0.40) per share.
The deal will add new growth opportunities to Gen-Probe in the transplant diagnostics, genetic testing and pharmaceutical services, the company's chairman and CEO Carl Hull commented.
The transaction today got the go-ahead by the High Court of Justice in England and Wales and Tepnel's listing on the Alternative Investment Market (AIM) of the London Stock Exchange was cancelled.
Gen-Probe funded the acquisition through a revolving credit facility.
